Terms of Service

1. Agreement to Terms

By installing and using the Keystone B2B Shopify application ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, please do not install or use the App.

These Terms constitute a legal agreement between you ("Merchant", "you", or "your") and Keystone B2B ("we", "us", or "our") governing your use of the App.

2. Description of Service

The App provides integration services that allow you to:

• Synchronize your Shopify store data with our platform
• Configure custom metafield definitions for your store
• Set up real-time webhook notifications for order, product, and customer events
• Manage B2B features (for Shopify Plus merchants)

3. Account Requirements

To use the App, you must:

• Have a valid Shopify store
• Have the authority to bind your business to these Terms
• Provide accurate information during the installation process
• Maintain the security of your Shopify account credentials

4. Permitted Use

You agree to use the App only for lawful purposes and in accordance with these Terms. You agree not to:

• Use the App in any way that violates applicable laws or regulations
• Attempt to gain unauthorized access to our systems or networks
• Interfere with or disrupt the integrity or performance of the App
• Use the App to transmit harmful or malicious code
• Reverse engineer, decompile, or disassemble any part of the App
• Use the App in a manner that could damage our reputation or goodwill

5. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which describes how we collect, use, and protect your information.

By using the App, you grant us permission to access and process the data from your Shopify store as necessary to provide our services. You represent that you have the authority to share this data and have obtained any necessary consents from your customers.

6. Intellectual Property

The App and its original content, features, and functionality are owned by Keystone B2Band are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of your store data. We claim no intellectual property rights over the content you provide through the App.

7. Service Availability

We strive to maintain high availability of the App, but we do not guarantee uninterrupted access. The App may be temporarily unavailable due to:

• Scheduled maintenance
• Emergency repairs
• Factors beyond our reasonable control

We will make reasonable efforts to provide advance notice of scheduled downtime.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the App will be error-free, secure, or available at all times, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KEYSTONE B2B SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

• Your use or inability to use the App
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the App
• Any bugs, viruses, or other harmful code that may be transmitted through the App

10. Indemnification

You agree to indemnify, defend, and hold harmless Keystone B2B, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable legal fees, arising out of or in any way connected with your access to or use of the App, your violation of these Terms, or your violation of any rights of another.

11. Termination

You may terminate this agreement at any time by uninstalling the App from your Shopify store.

We may suspend or terminate your access to the App immediately, without prior notice, if:

• You breach any provision of these Terms
• We are required to do so by law
• We discontinue the App

Upon termination, your right to use the App will cease immediately, and we will delete your data in accordance with our Privacy Policy.

12. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the new Terms on this page and updating the "Last updated" date. Your continued use of the App after any changes constitutes acceptance of the new Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
